This website is operated by Zyposoft Technologies Private Limited, Corporate Identity Number U62099KA2026PTC215058, incorporated in Bengaluru, Karnataka, India (“Zyposoft”, “we”, “us” or “our”). In these Terms of Use, “website” means the Zyposoft corporate website and its publicly available pages, content, forms and functionality.
These Terms govern access to and use of the website. They do not govern the purchase, licence, pilot, implementation, support or use of Zypocare, Zypo Clinical AI, the Zyposoft Integration Platform or any other Zyposoft product or service. Those matters are governed by the applicable proposal, order form, licence, services agreement, data-processing terms or other written agreement entered into with Zyposoft.
Where a written agreement with Zyposoft conflicts with these Terms in relation to a product, service or project, the written agreement prevails for that subject matter.
By accessing or using the website, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the website.
You must be legally competent to enter into a binding agreement. If you use the website on behalf of a company, hospital or other organisation, you represent that you are authorised to act for that organisation in relation to your use of the website.
Your use of electronic communications and website forms constitutes consent to transact and communicate electronically to the extent permitted by applicable law. A form submission or acknowledgement does not by itself create a product, services, partnership or other commercial agreement.

No right is granted except the limited right to use the website in accordance with these Terms.
You must not use the website in a manner that is unlawful, harmful, misleading, abusive, insecure or inconsistent with the rights of Zyposoft or any other person.
The website and its text, design, layout, software, source code, graphics, diagrams, product interfaces, animations, audiovisual material, documentation and other content are owned by or licensed to Zyposoft and are protected by applicable intellectual-property laws.
Zyposoft, Zypocare, Zypo Clinical AI, the Zyposoft Integration Platform and associated names, logos and identifiers are proprietary to Zyposoft. No licence to use a trade mark, brand element or product identity is granted by these Terms.
You may quote brief portions of publicly available content with clear attribution and may share links to website pages. Any other reproduction, adaptation, distribution, commercial use, public display, creation of derivative material or systematic extraction requires Zyposoft’s prior written permission.
Third-party names, marks and content remain the property of their respective owners. Reference to a third party does not by itself imply sponsorship, endorsement, certification or partnership.
Information submitted through a contact form, partner application or other website channel must be accurate, lawful and supplied by a person authorised to provide it.
You retain ownership of material you submit. Illustrative content is intended to explain a concept and must not be treated as evidence of a live deployment, customer result, regulatory status or production capability unless expressly identified as such.
Zyposoft may correct, update, reorganise, suspend or remove website content or functionality at any time. Material product and service commitments are determined only by the applicable written agreement.
The website is provided on an availability basis and may be interrupted for maintenance, security, technical failure, network conditions or circumstances beyond Zyposoft’s control.
Zyposoft may suspend or restrict access to any part of the website where reasonably necessary to protect systems, investigate misuse, comply with law or maintain operations.
This section concerns the public website only. Availability, support and service-level commitments for Zyposoft products are governed exclusively by the applicable customer agreement.
To the maximum extent permitted by applicable law, the website and its content are provided on an “as is” and “as available” basis.
Zyposoft disclaims all express, implied and statutory warranties concerning the website, including implied warranties of merchantability, fitness for a particular purpose, accuracy, non-infringement, uninterrupted availability and freedom from harmful components.
Nothing in these Terms excludes a warranty, guarantee or other right that cannot lawfully be excluded or restricted.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from fraud or fraudulent misrepresentation, wilful misconduct, or any other liability for which exclusion is prohibited by applicable law.
Subject to the preceding paragraph and to the maximum extent permitted by law, Zyposoft and its directors, officers, employees, affiliates and service providers shall not be liable for any indirect, incidental, special, exemplary, punitive or consequential loss; loss of profits, revenue, opportunity, goodwill, anticipated savings, business, data or reputation; or loss arising from reliance on website content, third-party resources, interruption, unauthorised access or misuse of the website.
Subject to the preceding paragraphs, Zyposoft’s aggregate liability arising out of or relating to the website or these Terms shall not exceed the greater of: (a) the amount, if any, paid by you specifically for access to the public website during the twelve months preceding the event giving rise to liability; and (b) INR 10,000.
The limitations in this section apply regardless of the form of action and even where Zyposoft has been advised that a loss is possible. They do not affect mandatory rights available to a consumer under applicable law.
To the extent permitted by law, you shall indemnify and hold harmless Zyposoft, its affiliates and their respective directors, officers, employees and agents from third-party claims, losses, liabilities, penalties, damages and reasonable legal costs arising from: your unlawful or unauthorised use of the website; material you submit; your infringement of intellectual-property, privacy, confidentiality or other rights; your misrepresentation of a relationship with Zyposoft; or your material breach of these Terms.
This indemnity does not require you to indemnify Zyposoft for loss caused by Zyposoft’s own fraud, wilful misconduct or liability that cannot lawfully be transferred.
Zyposoft may suspend, restrict or terminate your access to the website immediately where it reasonably believes that you have breached these Terms, created a security or legal risk, interfered with the website, misrepresented an affiliation or used the website unlawfully.
Termination does not affect rights, obligations or liabilities that accrued before termination. Provisions concerning intellectual property, submissions, warranties, liability, indemnity, governing law and any provision intended by its nature to survive shall continue to apply.
Zyposoft may amend these Terms to reflect changes in law, the website, security requirements or business practices.
The effective date displayed at the top identifies the current version. Updated Terms apply from their stated effective date. Your continued use of the website after that date constitutes acceptance of the updated Terms.
A material change will be communicated through an appropriate notice on the website where required by law.
These Terms, together with the Privacy Policy and any document expressly incorporated by reference, constitute the entire agreement between you and Zyposoft regarding use of the public website.
If a court or competent authority finds any provision invalid or unenforceable, that provision shall be enforced to the greatest extent permitted and the remaining provisions shall continue in effect.
A failure or delay by Zyposoft in exercising a right does not waive that right. A waiver is effective only when given in writing by an authorised representative.
You may not assign or transfer your rights or obligations under these Terms without Zyposoft’s prior written consent. Zyposoft may assign these Terms in connection with a merger, reorganisation, sale of business or transfer to an affiliate or successor.
Headings are for convenience and do not affect interpretation. Words such as “including” are illustrative and do not limit the words that precede them.
Zyposoft is not responsible for delay or failure caused by circumstances beyond its reasonable control, including failures of telecommunications, hosting, utilities, public networks, governmental action, natural events, civil disturbance, cyberattack or widespread infrastructure failure.
Questions about these Terms, requests concerning permitted use, and notices of inaccurate website content may be sent through the website contact page or to the official contact address published by Zyposoft.
Privacy requests must be submitted using the contact details stated in the Privacy Policy. Security reports should follow the process described in section 9 above.
These Terms and any non-contractual obligation arising out of or relating to them are governed by the laws of India, including the Indian Contract Act, 1872 and the Information Technology Act, 2000, as applicable.
The parties shall first attempt in good faith to resolve any dispute through written discussions for a period of thirty days after one party gives notice of the dispute.
Subject to mandatory rights and forums available under applicable consumer or other law, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over disputes arising out of or relating to the website or these Terms.
